INTRODUCTION
Welcome to Centerfy. These Terms of Service ("Terms"), together with our Privacy Policy, create a legal agreement between you and Centerfy, a business operated by: Centerfy Limited. Throughout these Terms, "Centerfy," "we," "us," or "our" refers to the entity above, and "you" or "your" or "client" refers to the person or business using our services.
What You're Agreeing To
By using Centerfy platform ("Platform"), which leverages GoHighLevel's infrastructure, you agree to:
-Follow these Terms.
-Allow us to process your data as described in our Privacy Policy.
-Pay the fees for services you choose to use.
-Adhere to any 'custom project' scope fees accepted by you.
-Use the Platform legally and responsibly.
If You Don't Agree
If you don't agree with these Terms, please don't use the Platform. Creating an account or using any of our services means you accept these Terms.
Who Can Use Centerfy
To use Centerfy, you must:
-Be at least 18 years old.
-Have the authority to enter into this agreement.
-Provide accurate account information.
-Use the Platform for business purposes only.
Our SMS Regulatory Compliance:
Centerfy AI, builds customer AI CRM's for their clients, if you opt-in to a form on our website you may receive sms reminders regarding your appointment. You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you. If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to [email protected] . Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider. For privacy-related inquiries, please refer to our Privacy Policy.
Outbound Calling Compliance & Usage Fees
By using our CRM system to place outbound calls or trigger automated workflows, the Client expressly agrees to comply with all applicable federal, state, and local laws and regulations governing telemarketing, robocalling, and automated voice messaging, including but not limited to the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and any Do-Not-Call (DNC) regulations. The Client acknowledges that they are solely responsible for ensuring the legality and compliance of their outbound communication practices, including obtaining any required consents. Centerfy Ltd assumes no liability for any unlawful use of its services and disclaims all responsibility for violations resulting from the Client’s actions.
Furthermore, the Client agrees that all outbound calls made through the system will incur usage-based fees as follows:
White Label Plans: $0.07/min for voice calls and $0.01 per GHL premium automation trigger.
All Other Plans: $0.14/min for voice calls $0.10 per GHL premium automation trigger.
The Client accepts full financial responsibility for all usage incurred under their account, regardless of user or purpose, and understands that these charges are separate from any recurring subscription fees and are non refundable.
1. PLATFORM SERVICES
1.1 What We Provide

-Centerfy's proprietary AI integrations and features.
-Custom development services.
-24/7 customer support.
-Training and implementation assistance.
1.2 Our Proprietary Tools
Our Platform includes custom tools and integrations protected by intellectual property law. You agree not to:
-Share or redistribute our proprietary tools.
-Reverse engineer our implementations.
-Use the snapshot feature to copy our configurations.
-Share your access credentials.
-Allow unauthorized platform access.
1.3 Penalties for Misuse
Unauthorized use of our intellectual property will result in:
-Immediate account termination.
-Liquidated damages
-Legal action.
-Recovery of all legal costs.
2. PAYMENTS AND BILLING
2.1 How We Process Payments
-Payments are processed through Stripe or other payment processors.
-Prices are in USD unless stated otherwise.
2.2 Subscription Plans
-Plans and pricing are listed on our website.
-We may update pricing without notice.
-All subscriptions are pre-paid.
-All Sales are final.
2.3 Payment Terms
-No refunds on usage or subscription plans.
-Marketplace purchases are non-refundable.
-Payment required before delivery of custom work.
2.4 High Level Usage Fees: Your access to the Platform requires prompt payment of all applicable fees for both you and your customers. These fees may include, but are not limited to, subscription charges, communication surcharges, add-on service costs, and any other usage-based or subscription-based fees incurred through HighLevel. Usage Pricing and fee structures are subject to change. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Usage-based charges, such as communication surcharges, are calculated based on actual usage and will appear as separate line items on your monthly invoice. 2.5 Additional Terms:
If you have signed up for an Unlimited licence, usage will be billed to the card on file for each subaccount.

3.4 Custom Work Terms
-Written approval needed before work starts.
-Estimates provided but may vary.
-Payment before delivery.
4. YOUR RESPONSIBILITIES
4.1 Account Security
You must:
-Keep your login credentials secure.
-Not share account access.
-Update us if your contact information changes.
-Report unauthorized access immediately.
4.2 Acceptable Use
You agree to:
-Use the Platform legally.
-Not violate others' rights.
-Not attempt to copy our implementations.
-Not use the Platform for harmful purposes.
4.3 Plagiarism and Intellectual Property Misuse
We maintain a strict zero-tolerance policy toward plagiarism and any form of intellectual property infringement. By using our services, you agree not to copy, reproduce, or repurpose any of our proprietary website content, materials, trainings, code, website designs, or systems in any form, whether for personal use, redistribution, or resale, without our prior written consent.
If we determine, at our sole discretion, that you have engaged in plagiarism or unauthorized use of our intellectual property, we reserve the right to immediately terminate your access, suspend or delete your account(s), and permanently end our professional relationship.
No refunds will be issued under such circumstances, regardless of time remaining or services rendered.
We further reserve the right to pursue legal action and seek damages for any harm caused as a result of such violation.
5. DATA AND PRIVACY
5.1 How We Handle Your Data

9. Non-Disparagement Clause
Client agrees not to post or share any public statements, reviews, or comments that could reasonably be seen as harmful, false, or disparaging toward Centerfy Ltd or its services. Breach of this clause may result in immediate cancellation of the subscription without refund.
