These Terms of Service (“Terms”) govern your access to and use of Centerfy —an AI-powered CRM built on Go High Level. Centerfy Limited (“Centerfy,” “we,” “us,” or “our”) and the related website, dashboard, and services (collectively, the “Service”).

  1. The "Service" Centerfy Provides

Centerfy is an all in one AI Suite built on the Go High Level platform that provides AI CRM services to its users including but not limited to AI Voice Agents, Conversation AI, AI Workflows, Copywriting, Funnel builders among other AI Services.

  1. Eligibility & accounts

We may use the information we collect from you for various purposes, including:

  1. Provide accurate registration information and keep credentials secure.

  2. You are responsible for all activity under your account.

  3. Provide accurate information.

  4. Use the Platform for business purposes only.

  1. Your content & data

  1. Customer Content. You own the data, contact lists, copy, and assets you provide (“Customer Content”). You grant us a limited license to use Customer Content to operate and improve the Service.

  2. Outputs. Unless otherwise required by your third-party tool terms, you own the messages and assets generated for you by the Agent.

  3. Do not upload anything you don’t have rights to use.

  1. Acceptable use

You agree not to use the Service to:

  1. Send unlawful, misleading, or deceptive communications; harass or discriminate; or target minors.

  2. Violate anti-spam/marketing laws (e.g., CAN-SPAM, CASL, GDPR/ePrivacy), phone/SMS rules (TCPA), or platform/ISP policies.

  3. Bypass rate limits, scrape in violation of website terms, or misuse personal data.

  4. Upload malware or attempt to access the Service or third-party systems without authorization.

We may suspend or terminate access for violations.

  1. SMS Compliance

If you opt into SMS communications, you may receive appointment or service-related text messages.

Message frequency varies. Standard message and data rates may apply.
Carriers are not liable for delayed or undelivered messages.

  1. Outbound Calling Compliance

By using the Platform to place outbound calls or initiate automated workflows, you agree to comply with all applicable laws, including:

  • Telephone Consumer Protection Act (TCPA)

  • Telemarketing Sales Rule (TSR)

  • Do-Not-Call (DNC) rules

You are solely responsible for legal compliance, including securing all required consents.
Centerfy assumes no liability for unlawful use.

Misuse — including unlawful robocalling or similar activity — may result in:

  • Immediate account termination

  • Loss of any guarantees or refund eligibility

  • Potential legal reporting

We may terminate your account without refund for violations.

  1. Usage Fees

All usage is billable:

White Label Plans: $0.07/min for voice calls and $0.01 per GHL premium automation trigger.

All Other Plans: $0.14/min for voice calls $0.10 per GHL premium automation trigger.

High Level Usage Fees: Your access to the Platform requires prompt payment of all applicable fees for both you and your customers. These fees may include, but are not limited to, subscription charges, communication surcharges, add-on service costs, and any other usage-based or subscription-based fees incurred through HighLevel. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Usage-based charges, such as communication surcharges, are calculated based on actual usage and will appear as separate line items on your monthly invoice. When payment is due, the card on file will be automatically charged.

The Client accepts full financial responsibility for all usage incurred under their account, regardless of user or purpose, and understands that these charges are separate from any recurring subscription fees and are non refundable.

  1. Our Proprietary Tools

8.1 Our Platform includes custom tools and integrations protected by intellectual property law.

You agree not to:

  1. Share or redistribute our proprietary tools.

  2. Reverse engineer our implementations.

  3. Use the snapshot feature to copy our configurations.

  4. Share your access credentials.

  5. Allow unauthorized platform access.

8.2 Penalties for Misuse

Unauthorized use of our intellectual property will result in:

  1. Immediate account termination.

  2. Liquidated damages

  3. Legal action.

  4. Recovery of all legal costs.

9.1 How We Process Payments

  1. Payments are processed through Stripe or other payment processors.

  2. Prices are in USD unless stated otherwise.

9.2 Subscription Plans

  1. Plans and pricing are listed on our website.

  2. We may update pricing without notice.

  3. All subscriptions are pre-paid.

  4. All Sales are final.

9.3 Payment Terms

  1. No refunds on usage or subscription plans unless otherwise stated in writing.

  2. Marketplace purchases or credits purchased are non-refundable.

  3. Payment required before delivery of custom work.

10.1 Custom Work

Billable services include:

  1. Custom feature development.

  2. Advanced integrations.

  3. Workflow customization.

  4. Extended training.

  5. Non-standard platform modifications.

10.2 Custom Work Terms

  1. Written approval needed before work starts.

  2. Estimates provided but may vary.

  3. Payment before delivery.

  1. Your Responsibilities

11.1 Account Security

You must:

  1. Keep your login credentials secure.

  2. Not share account access.

  3. Update us if your contact information changes.

  4. Report unauthorized access immediately.


11.2 Acceptable Use

You agree to:

  1. Use the Platform legally.

  2. Not violate others' rights.

  3. Not attempt to copy our implementations.

  4. Not use the Platform for harmful purposes.

11.3 Plagiarism and Intellectual Property Misuse

  1. We maintain a strict zero-tolerance policy toward plagiarism and any form of intellectual property infringement. By using our services, you agree not to copy, reproduce, or repurpose any of our proprietary website content, materials, trainings, code, website designs, or systems in any form, whether for personal use, redistribution, or resale, without our prior written consent.

  2. If we determine, at our sole discretion, that you have engaged in plagiarism or unauthorized use of our intellectual property, we reserve the right to immediately terminate your access, suspend or delete your account(s), and permanently end our professional relationship.

  3. No refunds will be issued under such circumstances, regardless of time remaining or services rendered.

We further reserve the right to pursue legal action and seek damages for any harm caused as a result of such violation.

You must:

  4. Secure your access credentials.

  5. Back up your important data.

14.1 Your Right to Cancel

You can cancel your subscription:

  1. Through your account dashboard.

  2. By contacting support@centerfy.ai

  3. We do not offer refunds for unused time or credits, all sales are final unless otherwise stated in writing.

14.2 Our Right to Terminate

We may suspend or terminate your access if you:

  1. Violate these Terms.

  2. Misuse the Platform.

  3. Fail to pay fees.

  4. Engage in harmful behavior.

  1. Liability & Legal Matters

15.1 Limitation of Liability

We're not liable for:

  1. Indirect or consequential losses.

  2. Lost profits or data.

  3. Litigation of any form

  4. Service interruptions.

  5. Bugs arising from third party software

  6. Third-party actions.

15.2 Indemnification

You will waive all liability from us due to claims arising from:

  1. Your use of the Platform.

  2. Litigation of any type.

  3. Your content.

  4. Your violations of these Terms.

  1. Dispute Resolution & Arbitration

Binding Arbitration: All disputes must be resolved by binding arbitration under the HKIAC rules in Hong Kong.

Individual Basis Only: Claims may only be brought individually — no jury trial, no class actions, no collective or representative proceedings.

Costs: The prevailing party may recover legal fees, expert costs, and arbitration expenses.

Time Limit: Any claim must be filed within three (3) months of arising, or it is permanently barred.

Severability: If any part of this clause is unenforceable, the rest remains in effect. Non-arbitrable claims must be filed exclusively in the courts of Hong Kong.

  1. Intellectual Property & Brand Use

You may not copy, replicate, impersonate, or otherwise present yourself as our brand or business in any form, whether online or offline. This includes, but is not limited to, the unauthorized use of our company name, logo, trademarks, brand colors, slogans, or any confusingly similar variation thereof.

  1. Affiliates and users are expressly prohibited from:

  1. Creating websites, social media pages, ads, or content that mislead others into believing they are officially affiliated with or representing our company.

  2. Using our brand assets in a way that causes confusion, misrepresentation, or false association.

  3. Registering domains, social media handles, or business names that are identical or deceptively similar to ours.

  4. We reserve the right to immediately terminate any user or affiliate account found in violation of this clause and pursue legal remedies for trademark infringement and deceptive conduct.

  1. Non-Disparagement

Client agrees not to post or share any public statements, reviews, or comments that could reasonably be seen as harmful, false, or disparaging toward Centerfy Ltd or its services. Breach of this clause may result in immediate cancellation of the subscription without refund.
