Welcome to Centerfy. These Terms of Service ("Terms"), together with our Privacy Policy, create a legal agreement between you and Centerfy, a business operated by: Centerfy Limited. Throughout these Terms, "Centerfy," "we," "us," or "our" refers to the entity above, and "you" or "your" or "client" refers to the person or business using our services.


What You're Agreeing To

By using Centerfy platform ("Platform"), which leverages GoHighLevel's infrastructure, you agree to:

-Follow these Terms.

-Allow us to process your data as described in our Privacy Policy.

-Pay the fees for services you choose to use.

-Adhere to any 'custom project' scope fees accepted by you.

-Use the Platform legally and responsibly.

If You Don't Agree

If you don't agree with these Terms, please don't use the Platform. Creating an account or using any of our services means you accept these Terms.

Who Can Use Centerfy

To use Centerfy, you must:

-Be at least 18 years old.

-Have the authority to enter into this agreement.

-Provide accurate account information.

-Use the Platform for business purposes only.

Our SMS Regulatory Compliance:

Centerfy AI, builds customer AI CRM's for their clients, if you opt-in to a form on our website you may receive sms reminders regarding your appointment. You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you. If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to [email protected] . Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. 1.2 Our Proprietary Tools

Our Platform includes custom tools and integrations protected by intellectual property law. You agree not to:


-Share or redistribute our proprietary tools.

-Reverse engineer our implementations.

-Use the snapshot feature to copy our configurations.

-Share your access credentials.

-Allow unauthorized platform access.


1.3 Penalties for Misuse

Unauthorized use of our intellectual property will result in:

-Immediate account termination.

-Liquidated damages of $50,000 USD per violation.

-Legal action.

-Recovery of all legal costs.


2. PAYMENTS AND BILLING

2.1 How We Process Payments


-Payments are processed through Stripe or other payment processors.

-Prices are in USD unless stated otherwise.


2.2 Subscription Plans

-Plans and pricing are listed on our website.

-We may update pricing without notice.

-All subscriptions are pre-paid.


2.3 Payment Terms

-No refunds on subscription fees unless otherwise stated.

-Marketplace purchases are non-refundable.

-Payment required before delivery of custom work.

2.4 High Level Usage Fees: Your access to the Platform requires prompt payment of all applicable fees for both you and your customers. These fees may include, but are not limited to, subscription charges, communication surcharges, add-on service costs, and any other usage-based or subscription-based fees incurred through HighLevel. Pricing and fee structures are subject to change. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Usage-based charges, such as communication surcharges, are calculated based on actual usage and will appear as separate line items on your monthly invoice. 3.3 Custom Work

Billable services include:

-Custom feature development.

-Advanced integrations.

-Workflow customization.

-Extended training.

-Non-standard platform modifications.


3.4 Custom Work Terms

-Written approval needed before work starts.

-Estimates provided but may vary.

-Payment before delivery.


4. YOUR RESPONSIBILITIES

4.1 Account Security

You must:

-Keep your login credentials secure.

-Not share account access.

-Update us if your contact information changes.

-Report unauthorized access immediately.


4.2 Acceptable Use

You agree to:

-Use the Platform legally.

-Not violate others' rights.

-Not attempt to copy our implementations.

-Not use the Platform for harmful purposes.


5. DATA AND PRIVACY

5.1 How We Handle Your Data

-Fail to pay fees.

8. LIABILITY AND LEGAL MATTERS

8.2 Indemnification


You will protect us from claims arising from:

These Terms are governed by U.S. law. Disputes resolved in U.S. courts.

9. Money Back Guarantee

We offer a 14-day “Love It or Your Money Back” Guarantee for customers who purchase an eligible package.

This guarantee applies to:

-Starter, Growth, and Agency packages.

-The $997 Setup Fee for the $1 per month promotion

To qualify for the Money Back Guarantee:

The customer must book and attend the initial setup and onboarding call. Refund requests must be submitted in writing to [email protected] within 14 days of the purchase date. The guarantee becomes void after the second onboarding call is completed.


Additional Terms:

The refund covers the subscription fee and/or setup fee but does not include any third-party costs (e.g., phone call usage, additional services). Approved refunds will be processed within 5 business days to the original payment method. This guarantee is intended for customers who actively engage with the service. Misuse of the guarantee may result in denial of the refund request.

You agree that all usage costs will be paid by the client. If you have signed up for an Unlimited licence, usage will be billed to the card on file for each subaccount.
